Website Pros (WSP) is a web services and software company founded in 1999. It is known for online web design service and the NetObjects Fusion web design software bought from NetObjects, Inc. in 2001. Services and products are targeted at small and medium-sized businesses.

Website Pros reached profitabilty in 2006 (GAAP, non-GAAP: 2004)[3][4]. The revenue growth that the company reports (from $23 million in 2004 over $38 million in 2005 to $52 million USD in 2006) derives mainly from acquisitions. Website Pros continues its strategy of mergers and acquisitions with the buy of Web.com in 2007.

Company history from 1999 to 2003 (IPO)

File:Wsp hq.jpg
Headquarter in Jacksonville, Florida.

Website Pros was founded in 1999 by Darin Brannan. From the foundation until 2004 venture capital partners invested $65 million USD into the company[5], amongst others $10 million from Insight Venture Partners in 2003[6] and $7 million from Insight and Norwest Venture Partners in 2004[7]

Today the largest institutional holder is Artis Capital Management, LLC, with a stock share of 6 %[8].

As opposed to mere software vendors, the company sees its market not in selling web design applications, but hiring designers to build web sites for customers ("Do-It-For-Me" Web services). A year after the foundation, the first business model - just building web sites - was extended by implementing additional functionalities like online promoting and search engine optimization[9][10].

The basic business of WSP is selling their online services with a monthly fee for small businesses.

In 2001, Website Pros acquired NetObjects Fusion, a web design application, along with other applications and assets from the defunct NetObjects, Inc. [11]

Building their projects with NetObjects products, it seemed suitable to WSP to buy the whole technology - if only to not have a competitor laying their hands on it. License revenue from the retail version of NetObjects Fusion stayed less than a tenth of the total revenue until today. [12]

In 2003, Website Pros went public with Initial Public Offering on NASDAQ (NasdaqWSPI), raising $68 million[13][14].

Website Pros since IPO in 2003

With the cash earned by Initial Public Offering, Website Pros expanded their acquisition strategy. The following companies were bought by WSP between 2005 and 2007:

  • LEADS.com, a provider of subscription bases online advertising (2005)[15],
  • eBoz, a provider of web marketing (2005),[15]

All these product lines target the small and medium-sized online enterprise market and all acquisitions were allowed to operate with their own brands. Website Pros' strategy is to strengthen the bottom line with other profitable business units and accomplish their own offerings with appropriate single buys. On the other hand the integration of so many bought companies as well as the achievement of synergy and cost effects can be a complex task.

Merger with Web.com

File:Web.logo.gif
Web.com, the latest acquisition.

In June 2007, Website Pros announced its biggest deal up to the day. The company has agreed with Atlanta-based Web.com to merge. Similar to WSP, Web.com offers a variety of web hosting and design services. Website Pros will buy Web.com for a total of $129 million, consisting of $25 million in cash and the rest in stock[19][20].

Web.com had acquired many smaller companies but was facing decreasing revenues and fading cash reserves for some years. The company struggled to reach profitability and had to face tough declines in revenue ($103 million USD in 2004 to $49 million USD in 2006) as well as fading cash reserves[21][22].

Web.com managed to reduce losses to $1.822 million USD in the first quarter through heavy cost cuts, lay-offs and the disposal of their server business - a must-have for the merger with Website Pros[23].

A WSP press release declares that a merged company will have "over 234,000 paying subscribers and over $117 million annualized revenue"[19]. At the end of 2006 WSP had 74,000 subscribers and an annual revenue of $ 52 millions USD.

How Website Pros will digest the Web.com block is yet to be seen. Motley Fool analyst Rick Aristotle is modestly positive about the merger but sees a possible takeover of the merged companies by even a big player like Yahoo on the horizon[24].

Main product lines and NetObjects MatrixBuilder

eWorks!!XL, the main service of Website Pros.

More than 90% of the revenue of Website Pros are generated from subscription based services with monthly fees. The basic product line is "eWorks!XL"[25]. This service offers the building of web sites by Website Pros' designers. A typical customer pays between $60 and $100 USD a month[26]. With $80 USD the cooperation model with Microsoft's Office Live lays in the same prize range[27].

The basic services are extended by hosting, web directory submitting[28], search engine optimization, online promoting, pay-per-click-campaigns[29] and visitors tracking as well as e-commerce or local lead generation.

File:Fusion10 Logo Small.jpg
NetObjects Fusion, acquired in 2001.

The Website Pro services are sold through partner channels and directly over the web site. Some add-on services like lead generation can be booked separately over the WSP business units mentioned in the list of the acquisitions.

From the 2001 acquisition, NetObjects Fusion is the only packaged software that WSP offers. The latest version is release 10 from 2006. License revenue from direct sales of NetObjects Fusion to end-customers reached nearly $3.58 million USD in 2006[12]

The NetObjects technology has yet another importance for Website Pros. The production process of the web sites is based on a product called NetObjects MatrixBuilder once belonging to the assets of NetObjects, Inc.[30][31][32].

NetObjects MatrixBuilder is an environment that allows WSP staff to design customer web sites in an flexible, style- and browser-based process. Designers and end-customers can seamlessly integrate additional online services like e-commerce[33].

The Matrix platform is also marketed by WSP[34][35].
